عنوان فارسی بررسی تطبیقی وظایف عمومی مدیران شرکت‌های تجاری در حقوق ایران و انگلستان
چکیده فارسی مقاله شفافیت و صراحت مقررات حاکم بر اعمال فعالان اقتصادی از اهداف مترقی کشورهای درحال توسعه و توسعه‌یافته است. نیل به این اهداف در گرو تصویب مقررات دقیق و کارآمد است. در این مقاله تلاش شده با تمرکز بر قانون شرکت‌های تجاری انگلستان 2006 و آرای دادگاه‌های این کشور و انطباق آن با حقوق شرکت‌های تجاری در ایران دریابیم که آیا غیر از وظایف شکلی مدیر در اداره شرکت، مدیر وظایف عمومی دیگری در برابر ذی‌نفعان در خصوص راهبری شرکت و حصول اهداف آن دارد یا خیر. باید دید، افزون‌بر وظایف شکلی مندرج در قانون ایران، در خصوص مواردی چون عدم تلاش مدیر در راستای تحقق اهداف تجاری شرکت یا فقدان توانایی مورد نیاز برای راهبری شرکت برای مدیران وظایفی عمومی، که منجر به مسئولیت آنها در مقابل ذی‌نفعان بشود، متصور است یا خیر. برخلاف انگلستان، در قوانین ایران به‌صورت صریح و نظام‌مند به چنین وظایفی پرداخته نشده و تمرکز قانون‌گذار بر وظایف شکلی مدیران بوده است. تجربه شرکت‌های تجاری در ایران نشان داده که این عدم صراحت باعث بروز مشکل در ارتقای شرکت و سوءاستفاده برخی مدیران از تعارض منافع شده است. عدم الزام قانونی به حضور افراد دارای معیارهای مشخص و عدم شناسایی اهم وظایف مدیران، برای شرکت‌ و جامعه هزینه‌ساز است. در این مقاله تطبیقی که به روش توصیفی-تحلیلی به رشته تحریر درآمده، تمرکز بر تعهدات و وظایف مدیران در برابر شرکت است که در قانون تجارت ایران بدون تفکیک دقیق به‌صورت پراکنده به آنها اشاره شده است.

عنوان انگلیسی A Comparative Study of the General Duties of Company Directors in Iran and UK Law
چکیده انگلیسی مقاله Transparency and clarity of regulations governing the actions of economic activists are goals pursued by developing and developed countries. Achieving these goals relies on the adoption of precise and effective regulations. This article attempts to explore, with a focus on the Companies Act 2006 of the United Kingdom and the rulings of its courts, and the alignment of these provisions with the laws governing commercial companies in Iran, whether managers have duties beyond their formal responsibilities in managing the company towards stakeholders regarding the management of the company and the achievement of its goals? It should be examined whether, in addition to the formal duties specified in Iranian law in cases such as the manager’s lack of effort to achieve the company’s business goals or the lack of the ability required to manage the company, managers are expected to have general duties that would lead to their liability to stakeholders. Unlike the United Kingdom, Iranian laws have not explicitly and systematically addressed such duties, and the legislative focus has been on the formal duties of directors. The experience of commercial companies in Iran has shown that this lack of clarity has led to problems in the advancement of companies and the exploitation of conflicts of interest by some managers. The absence of legal requirements for individuals with specific criteria and the failure to identify key managerial responsibilities incur costs for both the company and society. This comparative article, written using a descriptive-analytical method, focuses on the obligations and duties of managers towards the company, which are sporadically mentioned in the Iranian Commercial Code without precise distinction
