عنوان فارسی مبانی مسئولیت شرکت مادر در قبال شرکت تابع(مطالعه تطبیقی در نظام حقوقی انگلیس و ایران)
چکیده فارسی مقاله چنانچه شرکتی با تملک اکثریت سهام شرکت دیگر، به نوعی کنترل و نظارت آن شرکت را به دست گیرد، شرکت اول را شرکت مادر و دیگری را شرکت تابع نامند. ایجاد رابطه تبعیت و وابستگی میان دو شرکت که اغلب با هدف کسب حداکثر سود صورت می­پذیرد، در مواردی هم می­تواند منجر به سوءاستفاده گردد. در چنین مواردی و با توجه به اصل استقلال شخصیت حقوقی شرکت‌ها، آیا شرکت مادر پاسخگوی اقدامات زیانبار شرکت تابع است یا خیر؟ نظام حقوقی انگلیس به‌ویژه با توسل به قاعده «خرق حجاب شخصیت حقوقی شرکت»، شرکت مادر را مسئول قلمداد می­کند. در ایران، رویه­ای در این خصوص مستقر نشده، ولی با استناد به قاعده فقهی «من له الغنم فعلیه الغرم» و دیگر اصول، می­توان به مسئولیت شرکت مادر حکم کرد.

چکیده انگلیسی مقاله If the Company earns the acquisition of a majority share in another company, takes over the control and supervision of the company, the first company is called parent company and another is subsidiary. Subordination relationship between the two companies is often done to earn maximum profit, in some cases, it can lead to abuse. In such cases, and according to the principle of independent legal personality of companies, Is the parent company responsible for the harmful actions of its subsidiary or not? In English legal system, especially by resorting to the principle of "piercing the corporate veil", the parent company is responsible. In Iran, the procedure in this case is not settled, but according to the juridical rule, "everyone gains benefit, should tolerate losses" and other principles, can be ruled the responsibility of the parent company.
