عنوان فارسی کارکرد «ثبت شرکتهای تجاری» در ایجاد اعتماد و امنیت قراردادی
چکیده فارسی مقاله مساله تعییین هویت و شناسایی اشخاص حقوقی و تعیین وضعیت حقوقی آنها به عنوان مقدمه ایجاد «اعتماد قراردادی» در قراردادهای منعقده با شرکتها از جمله مسائلی است که به طور روزافزون مورد توجه دولتها و سازمانهای بین دولتی است و همین امر سبب توجه دولتها به نهاد ثبت به عنوان ابزاری جهت تضمین ثبات وضعیت حقوقی شرکتها شده است. لکن بررسی‌ها نشان می‌دهد در عمل نهاد ثبت نتوانسته است پاسخگوی نیازهای عمومی در حوزه تامین امنیت قراردادی منعقده با شرکتهای تجاری باشد. این مقاله با نگاهی تطبیقی و تحلیلی به مساله مزبور به این نتیجه دست یافته است که این امر ناشی از عدم توجه سیستم‌های حقوقی به دو کارکرد حقوقی «حمایتی» و «اطلاع‌رسانی» سیستم ثبت شرکتها و ابزارهای دستیابی به آن می‌باشد و برقراری ارتباط «موثر» میان دو عامل مشترک همه نظام‌های حقوقی در حوزه شرکتهای تجاری یعنی «شخصیت حقوقی مستقل» و «ثبت» از طریق تاثیر ثبت در ایجاد و یا قابلیت استناد اطلاعات ثبت شده و برقراری فرض صحت اطلاعات ثبت شده مبتنی بر اتخاذ روش تحقیقی ثبت اطلاعات و بر مبنای تئوری اعتماد عمومی زمینه تحقق هر دو کارکرد موصوف را فراهم می‌کند و در نتیجه اثر ثبت در تامین امنیت قراردادی محقق می‌گردد.

چکیده انگلیسی مقاله The identification of legal entities and determination of their legal status, as an introduction to creating "transaction security", in contracts with companies, is one of the issues that increasingly being considered by governments and intergovernmental organizations. It has led the governments to care of registration as a means to ensure the stability of legal status of companies. But the reviews show, practically the registration institute has not been able to meet the public's requirements in the field of contract security signed by commercial companies. This paper, with a comparative and analytical approach, has reached the conclusion that this is related to the lack of attention paid by the legal systems to the two "protective" and " declarative" legal functions of registration system and tools to achieve it and "effective" communication between the two common factors of all legal systems in the field of commercial companies, namely; "independent legal entity " and "registration" by effect of registration in The Constitution and inposability of the registered information, and the establishment of the assuring of the accuracy of the recorded information based on the adoption of a data recording research method and public confidence theory, provides context for the fulfillment of both functions and in result, incorporation will be enforced in contract security.
